Summary: Orrick, Herrington & Sutcliffe LLP is a leading global law firm with a highly regarded Fund Formation practice serving fund managers and institutional investors. The Junior Career Associate will support partners and senior associates on fund formation transactions, drafting and reviewing core fund documents and advising on sponsor-side and investor-side representations.
Responsibilities:
- The associate will work closely with partners and senior associates on fund formation matters, including drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters, with exposure to both sponsor-side and investor-side representations
Required Qualifications:
- Candidates must possess a J.D. from an accredited law school
- 1-2 years of experience
- Active bar membership (or eligibility for prompt admission) in West Virginia or Pennsylvania is required
- Strong academic credentials
- Excellent written and verbal communication skills
- Attention to detail
- A genuine interest in a long-term career in private fund formation
Preferred Qualifications:
- Prior transactional legal experience through law school clinics, internships, clerkships, or early associate work is preferred
- Coursework or interest in securities regulation, investment management, corporate law, or partnership taxation will distinguish top candidates
- Candidates motivated by the career associate model: attorneys who seek sophisticated legal work in a collegial environment with a sustainable pace and long-term professional stability
