Job Description
Summary: Weintraub Tobin is an innovative provider of sophisticated legal services to dynamic businesses and business owners. The firm is seeking a full-time Corporate Associate with 1-4 years of experience in corporate and business transactions, including mergers and acquisitions, capital markets, and complex commercial agreements.
Responsibilities:
- Assist in the structuring, negotiation, and execution of a wide range of corporate and transactional matters, including mergers and acquisitions, entity formations, and reorganizations
- Draft, review, and revise transaction documents, including purchase agreements, operating agreements, shareholder agreements, and commercial contracts
- Conduct legal and due diligence reviews in connection with corporate transactions
- Support financing transactions, including preparation and review of loan and related agreements
- Collaborate with attorneys across practice groups, including tax and real estate, to support client matters requiring specialized expertise
- Manage multiple assignments simultaneously while meeting deadlines in a fast-paced environment
- Communicate effectively with clients, opposing counsel, and internal teams
- Stay current on developments in corporate law and relevant industry trends
Required Qualifications:
- Juris Doctor (J.D.) from an accredited law school
- Active membership in good standing with the California State Bar
- 1–4 years of corporate and business transactions experience, including M&A, purchases and sales, capital markets, financing agreements, and complex commercial agreements
- Demonstrated ability and drive to take responsibility for routine and increasingly complex matters with minimal supervision
- Strong attention to detail and ability to manage multiple matters and deadlines in a fast-paced environment
- Excellent interpersonal and communication skills, with a collaborative and client-focused approach
- Ability to work independently while also functioning effectively as part of a team
Preferred Qualifications:
- Exposure to transactional tax planning is a plus, but not required
- Exposure to securities law is a plus, but not required
