Job Summary
The Corporate Counsel provides legal guidance and support across a broad range of business activities, helping the organization effectively manage legal, regulatory, and contractual risk. This role partners closely with internal stakeholders to support strategic initiatives, business operations, and corporate objectives through practical, business-oriented legal advice.
The Corporate Counsel collaborates with business leaders, outside counsel, and cross-functional partners to support enterprise priorities while ensuring alignment with applicable laws, regulations, and company policies.
Duties & Responsibilities
- Investment Transactions & Legal Advisory: Provide legal guidance and support for a broad range of investment transactions, including debt and equity investments, private credit, structured assets, and other private asset classes. Partner with investment stakeholders to negotiate, draft, review, and document investment-related agreements, including subscription documents, side letters, and confidentiality agreements. Provide legal analysis and practical guidance related to legal, regulatory, and business issues impacting investment activities. Maintain awareness of applicable laws, regulations, and industry developments, assessing potential impacts and communicating recommendations as appropriate. Support investment-related regulatory, compliance, and transactional initiatives as needed.
- Vendor Contracts & Commercial Agreement Support: Review, draft, negotiate, and support vendor contracts and commercial agreements across a variety of business areas. Partner with sourcing and business teams to support contract implementation and resolution of legal issues. Develop and maintain standard agreement templates and related guidance materials. Provide guidance regarding evolving legal, regulatory, and contractual considerations impacting vendor relationships and agreements.
- Cross-Functional Partnership & Legal Operations: Collaborate effectively with internal stakeholders across Legal, Compliance, Investments, Sourcing, and business functions to support enterprise initiatives. Serve as a legal resource and liaison for corporate projects, legal matters, and cross-functional activities. Support efficient legal operations through organization, prioritization, and proactive issue resolution. Assist with legal process improvements, documentation management, and administrative support activities as needed.
- Institutional Markets & Strategic Business Support: Provide legal support and guidance for institutional markets initiatives and related business activities. Develop working knowledge of company products, operations, and procedures to effectively support business objectives. Support funding agreement backed note (FABN) activities and related ongoing maintenance requirements. Coordinate with and manage outside counsel as needed to support business initiatives and legal matters.
- Special Projects & Departmental Support: Lead or support special departmental and corporate projects as assigned. Provide support to senior legal leadership on strategic initiatives and legal matters. Coordinate activities with outside counsel, regulators, and other external partners as appropriate.
Supervisory Responsibilities: This role does not have formal people leadership responsibilities but may provide guidance, mentorship, or subject matter expertise to others.

- Strong legal research, analytical, and problem-solving capabilities
- Excellent written and verbal communication skills with ability to communicate complex legal concepts clearly and effectively

- Proficiency with Microsoft Office applications, including Word, Excel, PowerPoint, and related tools
- Ability to identify process improvement opportunities and support operational efficiencies
- Ability to adapt effectively to changing business needs and priorities
Minimum Qualifications
- Juris Doctor (JD) degree from an accredited law school
5+ year of relevant experience
- Legal and/or compliance experience within the financial services industry
- Experience supporting investment transactions, commercial agreements, and regulatory compliance activities
Preferred Qualifications
8+ year of relevant experience
- Experience within the insurance, life insurance, or annuity industry
- Familiarity with investment-related legal and regulatory frameworks
- Experience supporting institutional markets or complex investment structures

- This position primarily involves sedentary work, requiring long periods of sitting, regular use of a computer, and occasional standing or walking, with reasonable accommodations available.
