Ehvert Mission Critical, a business unit within Salas O’Brien, is seeking an experienced In-House Corporate Lawyer for a long-term independent contractor basis.
This is an ongoing contractual engagement with a US-based company and is not limited to a single project. The role involves continuous collaboration across multiple international business operations and legal matters, based on company needs.
You will provide services as an independent, self-employed professional under a formal independent contractor agreement.

Role Summary:
The In-House Corporate Lawyer, acting as an independent contractor, plays a key role in supporting the legal operations of Ehvert Mission Critical, a business unit within Salas O’Brien, specializing in the engineering and construction management of hyperscale and AI data centers across North America.
In this role, you will support the company’s international legal activities with a primary focus on the United States and Canada, while also assisting operations in Ukraine and Estonia. You will work closely with executive leadership and internal departments to ensure legal compliance, support international business structuring, maintain corporate records and filings, draft and review contracts, and develop legal documentation and internal policies.
The role requires strong analytical thinking, attention to detail, adaptability, and the ability to operate effectively in a fast-paced international environment. You will collaborate with Accounting, HR, management, and operational teams to support legal matters related to corporate governance, contracts, labor law, taxation, and regulatory compliance.
To succeed in this position, the ideal candidate must demonstrate excellent communication skills in English, strong drafting abilities, sound legal judgment, and the ability to independently manage complex legal tasks across multiple jurisdictions.

Responsibilities:
- Assist with in-house legal needs for a growing engineering company operating in the USA, Canada, Ukraine, and Estonia, with the main focus on the US and Canadian entities
- Ensure all corporate filings, including tax filings per state and federal requirements, are up to date
- Collaborate with the CEO to structure international business activities
- Monitor and adapt to changes in corporate law in regions of operation
- Update internal procedures, policies, staff guidance, and checklists accordingly
- Provide legal assistance upon request
- Prepare, review, and maintain contracts, agreements, templates, and legal forms
- Develop regulatory and legal documentation for business operations
- Develop and implement legal strategies and policies in the best interest of the company
- Effectively communicate with team members from other departments (Accounting, HR, Operations, etc.) to achieve joint objectives
- Examine legal data and conduct legal research on assigned matters
- Support risk assessment and ensure compliance with applicable legal requirements
Requirements:
- Higher degree in Law
- Ideally 7–8+ years of relevant experience working as a lawyer
- Written and spoken English B2 or higher is essential for this role
- Experience working in an international environment or international company is considered a strong asset
- Strong drafting, analytical, and legal writing skills
- Experience in Administrative, Commercial, Contract, Labor, and Tax Law
- Experience working with multiple jurisdictions (USA and Canada experience is an asset but not mandatory)
- Excellent issue-spotting, legal research, risk assessment, and problem-solving skills
- Commercial mindset and dynamic professional attitude
- Proficiency in Microsoft Office (Word, Excel, Outlook)
- Excellent organizational and communication skills
- Ability to work both independently and collaboratively within a team
- Ability to prioritize tasks, remain flexible, and maintain high accuracy
- Ability to think creatively and solve complex legal challenges

This engagement is strictly as an independent contractor. You will not be eligible for employee benefits, and the company will not withhold taxes, provide insurance(s), or make contributions to social security/pensions on your behalf. You are responsible for complying with all tax and labor obligations in your country of residence. A formal independent contractor agreement will be required before work begins, governed by Texas, United States law.
